(1) Criteria for Information Disclosure

Auto Server Co., Ltd. strives to disclose information promptly and in a transparent, fair, and consistent manner in accordance with Japan's Financial Instruments and Exchange Act and other laws and regulations, as well as the provisions of "Timely Disclosure of Corporate Information, etc." under the Securities Listing Regulations stipulated by the Tokyo Stock Exchange (hereafter referred to as "timely disclosure rules"). Even if an item does not fall under the scope of the said laws and regulations or the timely disclosure rules, we seek to actively and fairly disclose information that we judge to be important or useful for helping shareholders and investors understand our company. We do not disclose personal information, customer information, or any other information that might violate the rights of related parties.

(2) Method of Information Disclosure

Any corporate information stipulated for disclosure in the timely disclosure rules is disclosed through the Timely Disclosure Network (TDnet) operated by the Tokyo Stock Exchange in accordance with those rules. Once the information has been disclosed through TDnet, it is also promptly posted on Auto Server's website. We strive to widely disclose any information that we judge to be important or useful via our website, even if that information does not fall under the requirements of the timely disclosure rules.

(3) Preventing Insider Trading

Regarding the prevention of insider trading, we have established the Management Regulations for the Prevention of Insider Trading and seek to prevent any such incidents. We hold seminars on insider trading regulations for company officers and employees on an annual basis and distribute explanatory documents, striving to ensure they fully understand the content of these materials and to raise awareness, and we call their attention to insider trading through internal channels when necessary.

(4) Handling the Disclosure of Earnings Forecasts and Information on Future Prospects

Any earnings forecasts, future prospects, strategies, targets, and other information that we disclose are forward-looking statements except for those related to past or present facts. These statements are based on currently available information and plans, expectations, and judgements based on certain assumptions that are deemed to be reasonable. For that reason, actual performance may differ from the disclosed earnings forecasts due to a range of uncertain factors, such as economic conditions.

(5) Quiet Period

The company observes a quiet period that extends from the day after a fiscal year-end (or the end of a quarter) to the day of the announcement of full-year or quarterly financial results. The purpose of this quiet period is to prevent the leakage of financial information (including quarterly financial information) and ensure fair information disclosure. During this period, we refrain from answering questions or making comments about our financial results or forecasts. However, if we expect any significant changes in our earnings forecasts during the quiet period, we will make an appropriate announcement to that effect in accordance with the timely disclosure rules.

(6) Establishing Internal Systems for Information Disclosure

Auto Server Co., Ltd. strives to develop and enhance internal systems for the appropriate disclosure of information in accordance with this disclosure policy, as well as prevailing laws and regulations and the timely disclosure rules.
